Abstract

تعد المرحلة السابقة على التعاقد أو مرحلة المفاوضات العقدية، من أهم وأخطر مراحل عملية التعاقد، وأكثرها حساسية، باعتبارها المرحلة التي يتم خلالها تحديد محتوى العقد وما يتضمنه من حقوق والتزامات، كما أن هذه المرحلة تثير العديد من الاشكالات القانونية لاسيما تلك المرتبطة أساسا بقطع المفاوضات دون مبرر مشروع، فضلا عن ذلك فإن هذه المرحلة تعتبر أكثر إرهاقا للأطراف نظرا لما تكلفهم من أموال وما تستغرقه من جهد ووقت ونفقات لإعداد الدراسات و الخبرات الفنية.
