تفعيل مفهوم حوكمة الشركات

Abstract

حظي موضوع دراسة حوكمة الشركات في الجزائر باهتمام كبير من قبل الباحثين في السنوات الأخيرة وهذا بالنظر لأهميتها البالغة في تعديل سلوك أداء الشركات. في هذا الصدد ولترتيب الشركات الجزائرية، قمنا باعتماد أسلوب تحليل بعض المعطيات التي تستنبط من المعايير المنسدلة على قوانين و اجراءات ضبط الشركات والذي أيضا يتيح إمكانية دراسة خصائص كل المعاملات داخل كل شركة. تمت الدراسة على مستوى الاطار المكاني المحدد و هو الجزائر باعتماد معطيات واردة من بحوث و مقالات و مصادر. بينت نتائج الدراسة ضعف تطبيق آليات حوكمة الشركات والمردودية داخل الشركات، ولهذا وجب على الاطارات و الشركات تفعيل مبادرة هذا النظام لما له اهمية المتمثلة في الحد من الممارسات الغير مشروعة والتي من شأنها تأثر على الاقتصاد الجزائرى وحتى السلوك الاداري.

The subject of the study of corporate governance in Algeria has received great attention by researchers in recent years, given its great importance in modifying the behavior of corporate performance. In this regard and in order to arrange the Algerian companies, we have adopted the method of analyzing some of the data that are deduced from the criteria that fall on the laws and procedures of controlling companies, which also allows the possibility of studying the characteristics of all transactions within each company. The study was carried out at the level of the specific spatial framework, which is Algeria, by adopting data received from research, articles and sources. The results of the study showed the weak application of corporate governance mechanisms and profitability within companies, and for this reason, the frameworks and companies must activate the initiative of this system because of the importance of reducing illegal practices that affect the Algerian economy and even administrative behavior.
