Abstract

تعد شركة المساهمة أضخم و أمثل نموذج لشركات الأموال، يتكون رأسمالها من أسهم متساوية القيمة الإسمية، قابلة للتداول، وغير قابلة للتجزئة هذه الأسهم التي تخول لأصحابها حقوقاً وترتب عليهم التزامات، أجملها الفقهاء في حقوق و التزامات مالية وغير مالية. وقد تفطن المشرع لضعف الطابع التعاقدي فيها فتدخل بنصوص قانونية آمرة،بقصد حماية المساهم و الشركة ومع ذلك فإن المشرع الجزائري و المصري مطالبين بالسعي إلى مواكبة التطورات الاقتصادية، والرقي بشركة القاعدة العريضة لتجميع الأموال و استثمارها إلى الأفضل وتقديم تسهيلات للمساهم لمعرفة حقوقه والتزاماته لتشجيعه على استثمار أمواله فيها.

Thejoint-stock company is the largest and most ideal for a money company whose capital consists of shares of equal nominal value that are negotiable and indivisible. these shares give their owners most beautiful of which are the jurist in financial and non financial rights and obligation. The legislator became aware of the weakness of the contractual nature in it and interfered with the aim of protecting the shareholder and the company together .nevertheless, the Algerian and Egyptian legislators are required to strive to keep pace with economic developments and promote the broad base company to collect funds and invest them to the best and provide facilities for the shareholder to know his rights and obligations to encourage him to invest in which.
